`1. Joe Sigrist, General Manager of DDI-US and CFO of DDI-Korea, has been ordered to
`employ all available measures and powers to ensure that the August 25, 2022 capital
`reduction vote does not move forward. Mr. Sigrist shall file an affidavit on the docket
`within three (3) business days of this order, describing the measures he will take to
`comply with this order. Mr. Sigrist shall further file an affidavit on the docket on
`August 27, 2022, confirming that the capital reduction vote did not take place. See
`RCW 7.40.020.
`
`2. Joe Sigrist, General Manager of DDI-US and CFO of DDI-Korea, has been ordered to
`employ all available measures and powers to ensure that no DoubleDown entity
`makes any extraordinary expenditures of cash pending further order of the Court. For
`purposes of this order, “extraordinary expenditures” shall include but not be limited
`to any dividends, any mergers or acquisitions, any discretionary compensation
`bonuses, and any other extraordinary transfers of cash or assets. See, e.g., Erkan v.
`New England Compounding Pharmacy Inc., No. 12-cv-12052, 2012 WL 5896530, at
`*3 (D. Mass. Nov. 21, 2012) (Saylor, J.) (“[The defendant] is preliminarily enjoined
`from issuing any dividends to its stockholders, paying any officer or employee
`bonuses not awarded in the ordinary course of business prior to the date of this order,
`or making any extraordinary transfer of cash or assets, other than in the ordinary
`course of business, pending further order of the Court.”). Mr. Sigrist shall file an
`affidavit on the docket within three (3) business days of this order, describing the
`measures he will take to comply with this order.
`
`3. Defendant DoubleDown Interactive LLC, is enjoined from authorizing or allowing to
`be authorized any transfers to or from its bank accounts, including the accounts Leslie
`Keddie testified to, other than for the purpose of funding routine day-to-day
`operations of the DoubleDown social casino apps. See Ekran, 2012 WL 5896530, at
`*3 (“Accordingly, the Court will order that [the defendant] be preliminarily enjoined
`from issuing any dividends to its stockholders, paying any officer or employee
`bonuses not awarded in the ordinary course of business prior to the date of this order,
`or making any extraordinary transfer of cash or assets, other than in the ordinary
`course of business, pending further order of the Court.”) (emphasis added).
`
`
`4. This Order shall expire in fourteen (14) days unless Plaintiffs have by then filed a
`motion for a Preliminary Injunction or the Court, for good cause, orders otherwise.
