`Plaintiff Royalty Pharma Collection Trust (“RPCT”), by and through its attorneys,
`commences this action against Defendant Gilead Sciences, Inc. (“Gilead”), and alleges as
`follows:
`
`INTRODUCTION
`This action arises out of Gilead’s continuing breaches of its contractual obligations
`1.
`to pay royalties on sales of numerous licensed products within a franchise of pharmaceutical
`products containing the compound emtricitabine. Because Gilead has made clear that it has no
`intention of remedying its breaches, RPCT brings this action to declare Gilead in breach of the
`parties’ agreement and to recover the significant damages that it has incurred due to Gilead’s
`breaches.
`
`PARTIES
`Plaintiff RPCT is a Delaware trust with its principal place of business located in

`Defendant Gilead is a corporation organized under the laws of Delaware with its
`principal place of business located in Foster City, California.
`JURISDICTION AND VENUE
`This Court has jurisdiction over this matter pursuant to California Code of Civil

`This court has jurisdiction over these claims as the relief sought may properly be received from
`this Court.
`Venue is proper in this Court pursuant to California Code of Civil Procedure § 395

`Foster City, California, which is located in San Mateo County.
`FACTUAL BACKGROUND
`The 2005 Amended and Restated License Agreement

`On July 5, 2005, Emory University (“Emory”), Gilead, and RPCT (as successor-
`in-interest to Investors Trust & Custodial Services (Ireland) Limited, as Trustee of Royalty

`Pharma, an Irish unit trust) entered into an Amended and Restated License Agreement (the
`“Agreement”), pursuant to which RPCT purchased from Emory certain royalties payable to
`Emory under an existing license agreement between Emory and Gilead relating to the compound
`emtricitabine and related drug products.

`Emtricitabine is sold as Emtriva, an antiviral medicine that is used in the treatment
`of human immunodeficiency virus (HIV). Gilead also sells a number of combination products
`that include emtricitabine in combination with other active ingredient(s), including Truvada,
`Atripla, Complera, Stribild, Eviplera, Genvoya, Odefsey, Descovy, Biktarvy, and Symtuza.
