`Pursuant to the Court's notification dated July 23, 2025 (Transaction ID: 76709468), 1

`respectfully submit this letter to explain the delay in filing my Motion to Dismiss.
`
`The original deadline for my response was July 4, 2025. The delay was due to excusable neglect
`under Court of Chancery Rule 6(b). Unfortunately, my grandmother became seriously ill in early
`July and passed away on July 14, 2025. This family emergency required my full attention and
`
`left me unable to finalize and submit my court filings until now.
`
`I respectfully request that the Court accept this late filing nunc pro tunc and allow the motion to
`dismiss to proceed as scheduled. I apologize for any inconvenience this delay may have caused
`
`the Court or the parties.
