` SOFTWARE ASSIGNMENT CONTRACT AND INTELLECTUAL
`PROPERTY

`I. CONTRACTING PAR TIES
`
`
`
`1.1 SC ISIS M3 SRL-Roman legal person based in the municipality of Campina, Jud.
`Prahova, B-Dul Carol I, No. 74, registered at O.R.C. Prahova under no J/29/392/2001,
`having tax code RO 13854463, represented by Grigore Mariana residing in Campina,
`Sg Maj street hero Grigore Nicolae, No. 5, BL 23C, SC 1, et 1. Ap 6, having CI series
`PX No. 656304, CNP 2570729290906, released by SPCLEP Campina on 14.06.2019
`as Administrator hereinafter referred to as CEDENT;
`
`1.2 IT CASINO SOLUTIONS LLC – American legal entity, having its headquarters 7310
`East Tampico Anaheim Hills, California 92808, USA, represented by Risnoveanu Julian
`as the General Manager, hereinafter referred to as ASSO;
`
`1.3 Risnoveanu Julian – Romanian and American citizen, having provisional ID card P.
`A No. 541571 issued by the authorities of Babadag, Jud Tulcea at 2.07.2019, CNP
`1610620131253, residing in Romania, Com. Topolog, Sat. Topologist, Orchid Street,
`No. 4, Jud. Tulcea and domicile in the U.S. 7310E Paseo, Tampica Anaheim, CA
`92808, holder of the US passport type P No. 479086749 issued at 10.02.2011 de USA,
`a natural person hereinafter referred to as FIDEJUSOR;
`
`The following CONTRACT was drawn up
`
`II. SUBJECT MATTER OF THE CONTRACT
`
`1. The subject-matter of the contract is the product "Casino Software that ensures the
`management of dealers, their programming and evidence – Dealer Management v. 1.0"
`as described in the "ORDA Certificate" series S 5003286 No. 06434/20.02.2014, Annex
`I, Crt. 9, 10, 11, which are an integral part of this agreement.
`
`III. CONTRACT PRICE
`
`1. The price of this contract is 160,000 U.S. dollars
`2. Payment shall be made in two instalments as follows:
`-US $110,000
`is payable until
`the date of 9.08.2019

`-50,000 US dollars shall be paid within 20 days from the date of transfer of the source
`code covered by this agreement.
`3. If the amount of US $50,000 will not be paid by the ASSIGNOR at the time limit set out
`in paragraph 2 above, Risnoveanu Julian (who is the general manager of the transferee)
`as FIDEJUSOR undertakes that the natural person pays the TRANSFEROR this amount

`in 30 Days from the date of notification by the transferor, according to art. 2280 and the
`following of the Civil code.
`
`IV. CEDENTULUI'S OBLIGATIONS
`
`
`
`1. The assignor undertakes to surrender all his rights to the programmes described in
`the head. II, item 1 of the contract within 15 days after payment of the first rate of
`110,000 US dollars in the account.
`
`2. The assignor shall ensure that he is the exclusive owner of these programmes which
`he has made and recorded according to the Roman legislation, protected by the
`"Certificate of Registration in RNPPC" series S5003286 Nr. 0643/20.02.2014-ORDA.
`
`3. At the time of payment of the 110,000 US dollar rate in the
`RO96RNCB0207012633160002 account opened at BCR Breaza Romania the
`ASSIGNOR undertakes to submit to the TRANSFEREE, copyrights and source code
`that means a series of instructions or statements In a high-level computerized language
`such as C or BASIC, which is normally transformed by an interpreter or compiler into
`executable code that can be read automatically for effective use on a computer.
`
`4. The assignor declares that the assignment will become exclusive, definitive and not
`limited to any particular territory after the full payment of US $160,000.
`
`5. In case of full non-payment of the amount of 160,000 US dollars the support,
`copyrights and source code return by law without any formality SC ISIS M3 SRL
`Campina.
`
`6. The transferor shall not disclose to any third person the product sold under this
`agreement without the consent of the transferee.
`
`7. The transferor obliges to notify the ORDA of the sale of this product and that it has no
`right to it and to mention the name of the new owner of the product registered in ORDA.
`
`. OBLIGATIONS OF THE TRANSFEREE
`
`
`
`1. The transferee undertakes to pay the amount of 160,000 US dollars as agreed in this
`cap contract. III, point 1.2 and 3
`
`
`
`VI. OBLIGATIONS OF FIDEPLAYER
`
`
`
`1. If, for any reason, the transferee does not pay, the second rate as agreed, the
`Fideplayer shall be bound by the amount of 50,000 US dollars instead of the criminal
`

`clause of 15,000 USD provided for in the head. VII, point 2, in the case of non-payment
`within 30 days from the date of notification by the transferor on the non-pay of the
`second rate of the price
`

`
`VII. CRIMINAL CLAUSE
`
`
`
`1. If the transferor does not transfer the software described in the head. II, point 1 within
`the 15-day period from the payment of the first rate of 110,000 USD – undertakes to pay
`the transferee a criminal clause of 150,000 USD.
`
`2. If the assignor does not pay the second rate of 50,000 USD within 30 days of
`notification of the transferor, he undertakes to pay the transferor a criminal clause in the
`amount of 65,000 USD.
`
`
`
`VIII. OTHER CLAUSES
`
`
`
`1. Since this assignment "partnership Agreement No. 41/31.12.2005 and all subsequent
`additional acts are without object — the transferor and the assignor decide by mutual
`agreement to terminate them in accordance with art. 1231 Civil code at the time of
`payment The agreed price in the head. III, point 1
`
`2. As a result any past, present or future obligation derived from the Partnership
`Agreement No 41/31.12.2005 and all additional acts shall cease.
`
`3. Any dispute derived from that contract shall be subject to the Roman laws.
`
`4. The Parties agree to communicate to each other any change of address within 10
`days of its production. They also agree that any correspondence is carried out at the
`following address:

`5. Risnoveanu Julian thus passed in the American ID and Rasnoveanu Iulian passed so
`in the Romanian identity acts is one and the same person.

`This agreement ended at the Campina, today 16.07.2019 in three copies, in Romanian,
`having the same value, one for each party.
