`Legacy Partners, Inc., hereby brings this Cross-Complaint against Cross-Defendants Yardi
`Systems, Inc., RentGrow, Inc., and Roes 1 through 20, in this action, with the intent to have this
`matter added to the coordinated proceeding referenced above. Legacy Partners hereby alleges
`as follows:

`THE PARTIES
`1.
`Legacy Partners, Inc. (“Legacy Partners”) is now, and at all relevant times
`mentioned herein was, a corporation organized under the laws of the State of Delaware and
`registered to do business in the State of California, with its principal place of business at 950
`Tower Lane, Suite 900, Foster City 94404.
`2.
`Legacy Partners is informed and believes, and thereon alleges, that Yardi Systems,
`Inc. (“Yardi”) is now, and at all relevant times mentioned herein was, a corporation organized
`under the laws of the State of California, with its principal place of business at 430 Fairview
`Avenue, Santa Barbara, California 93117.

`Legacy Partners is informed and believes, and thereon alleges, that RentGrow,
`Inc., doing business as “Yardi Resident Screening” (“RentGrow”) is now, and at all relevant
`times mentioned herein was a corporation organized under the laws of the State of Delaware
`and registered to do business in the State of California, with its principal place of business at
`400 Fifth Avenue, Suite 120, Waltham, Massachusetts 02451.

`Legacy Partners is informed and believes, and thereon alleges, that Plaintiffs were
`and are residents of the State of California.
`5.
`Legacy Partners does not know the true names or capacities of Cross-Defendants
`Roes 1 through 20, inclusive, (collectively with Yardi and RentGrow, “Cross-Defendants”) and
`therefore sues these persons or entities by their fictitious names. Legacy Partners will amend
`this Cross-Complaint to allege their true names or capacities when they have been ascertained.
`Legacy Partners is informed and believes and, on that basis, alleges that each fictitious Cross-
`Defendant is in some manner responsible for the acts or omissions alleged, and the damages
`claimed, in this action.
`6.
`Legacy Partners is informed and believes and, on that basis, alleges that each and
`all Cross-Defendants, including ROES 1 through 20, were the agents, servants, employees,
`partners, or joint venturers of each other Cross-Defendants, and that each Cross-Defendants was
`acting within the course and scope of such agency, employment, partnership, or joint venture,
`and with the consent or the ratification of each other in doing the things alleged here.
`GENERAL ALLEGATIONS
`A. Application Hosting and Software Licensing Agreement:
`7.
` Legacy Partners is a real estate firm that owns, develops and manages
`multifamily communities in the State of California.
`8.
`Legacy Partners is informed and believes and, on that basis alleges, that on or
`about January 13, 2005, Cross-Defendant Yardi, entered into a written agreement with Legacy
`Partners, entitled Application Hosting and Software Licensing Agreement (the “Licensing
`Agreement”). Pursuant to the Licensing Agreement, Cross-Defendant Yardi agreed to provide
`Legacy Partners with a license to cloud-based property management software.
`9.
`Paragraph 6 of the Licensing Agreement obligates Cross-Defendant Yardi to
`provide certain implementation and training services to Legacy Partners with respect to Yardi’s
`cloud-based property management software.

`10. Paragraph 8 of the Licensing Agreement obligates Cross-Defendant Yardi to
`provide effective and timely product support to Legacy Partners with respect to Yardi’s cloud-
`based property management software.
`11. Legacy Partners is informed and believes and, on that basis alleges, that Cross-
`Defendant Yardi breached the Licensing Agreement by failing to provide competent
`implementation and training services, and product support.
`B.
`Screening Services Activation Agreement:
`12. Legacy Partners is informed and believes and, on that basis, that on or about
`November 26, 2013, Cross-Defendant RentGrow, entered into a written agreement with Legacy
`Partners, entitled Screening Services Activation Agreement (the “Screening Agreement”).
`Under the Screening Agreement, Cross-Defendant RentGrow agreed to provide Legacy Partners
`with resident/tenant credit screening services in connection with rental applications, submitted
`through Cross-Defendant Yardi’s cloud-based property management software.
`13. Paragraph 4 of the Screening Agreement obligates Cross-Defendant RentGrow to
`“remain compliant with the FCRA and applicable law” if Legacy Partners “provides certain
`information, including but not limited to, information about its Properties and Authorized users.”
`Legacy Partners complied with its obligations under Paragraph 4.
`14. Paragraph 11 of the Screening Agreement obligates the parties to the agreement
`that any action arising out of the Screening Agreement shall be resolved only in a court of
`competent jurisdiction in the City of Santa Barbara, California.
`15. The Screening Agreement contained and incorporated a set of schedules. Pursuant
`to Schedule A of the Screening Agreement, Legacy Partners agreed to utilize and pay for
`screening services in connection with resident/tenant applications submitted to properties
`located within California. In addition, the Screening Agreement provided that Legacy Partners
`agreed to utilize and pay for certain “additional” services for California.
`16. Legacy Partners is informed and believes and, on that basis alleges, that Cross-
`Defendant RentGrow breached the Screening Agreement by failing to provide resident/tenant
`screening services that complied with applicable California law.

`17. Legacy Partners is informed and believes and, on that basis alleges, that Cross-
`Defendants represented that the cloud-based property management software and resident/tenant
`screening complied and would continue to comply with California law. Legacy Partners
`reliance on this representation was not only the impetus for Legacy Partner’s entry into the
`Licensing Agreement and Screening Agreement, but also a material representation on which
`Legacy Partners based its decision to continue its relationship with Cross-Defendants.
`18. Legacy Partners is informed and believes and, on that basis alleges, that during
`the term of the contractual relationship, Cross-Defendants were aware of the scope of the
`Investigative Consumer Reporting Agencies Act (“ICRAA”) relative to Cross-Defendant
`Yardi’s cloud-based property management software and Cross-Defendant RentGrow’s
`resident/tenant screening.
`19. Legacy Partners is informed and believes and, on that basis alleges, that Cross-
`Defendants surreptitiously made multiple modifications to their cloud-based property
`management software and resident/tenant screening relative to the ICRAA, solely for their own
`benefit. In the course of such, Cross-Defendants concealed said modifications from Legacy
`Partners and made further representations to Legacy Partners that their cloud-based property
`management software and resident/tenant screening complied with California law and was
`suitable for use in the management of rental properties located in California.
`C.
`In Re: Legacy Partners Tenancy Cases
`20. Legacy Partners is informed and believes and, on that basis alleges, that thirty-
`four (34) lawsuits have been filed against it by individuals that were subject to resident/tenant
`credit screening services, by RentGrow, in connection with rental applications, submitted
`through Cross-Defendant Yardi’s cloud-based property management software.
`21. On or about January 20, 2023, JCCP Plaintiffs Norma Castaneda, Shane Horan,
`Kylie Santanello, Michael Lewis, Arisa Heitz, and Emilio Vasquez filed a Complaint against
`Legacy Partners, and Does 1 through 10, captioned Norma Castaneda, et al. v. Legacy Partners,
`Inc, which is pending in Los Angeles County Superior Court, Case No. 23STCV01307. This
`matter is part of the coordinated proceeding, Legacy Partners Tenancy Cases, Judicial Council

`22. On or about February 6, 2023, JCCP Plaintiffs Martha Aguirre, Brian Martinez,
`Lida Esfahani, Fred Nelbandian, Sahar Faal, Mary Tomassian, Lee Savary, and Stephanie
`Savary, filed a Complaint against Legacy Partners, and Does 1 through 10, captioned Martha
`Aguirre, et al. v. Legacy Partners, Inc, which is pending in Los Angeles County Superior Court,
`Case No. 23STCV02560. This matter is part of the coordinated proceeding, Legacy Partners
`Tenancy Cases, JCCP No. 5290. A true and correct copy of the Complaint filed in that action
`is attached as Exhibit 2, and is incorporated herein by reference as if fully set forth herein, said
`incorporation being solely for the purpose of identification and, by doing so, Legacy Partners

`23. On or about February 14, 2023, JCCP Plaintiffs Grant Goodwin, Heartnee Reese,
`Crystal Madrid, Mauro Guzzo, Emma Jacobs, Thuan Sue, and Jesus Serrano filed a Complaint
`against Legacy Partners, and Does 1 through 10, captioned Grant Goodwin, et al. v. Legacy
`Partners, Inc, which is pending in Los Angeles County Superior Court, Case No.
`23STCV03297. This matter is part of the coordinated proceeding, Legacy Partners Tenancy
`Cases, JCCP No. 5290. A true and correct copy of the Complaint filed in that action is attached
`as Exhibit 3, and is incorporated herein by reference as if fully set forth herein, said

`24. On or about March 16, 2023, JCCP Plaintiffs Lucia Perez, Christian Ibarra, John
`Bowman, Dynasty Nakatani, Marcus De La Fuente, David De La Fuente, Laura Ridenour, Terry
`Ridenour, Kim Thompson, and Lev Sheiko filed a Complaint against Legacy Partners, and Does
`1 through 10, captioned Lucia Perez, et al. v. Legacy Partners, Inc, which is pending in Los
`Angeles County Superior Court, Case No. 23STCV05888. This matter is part of the coordinated

`Dolapo Akerele, Nicole Crespo, Nathaniel Guerra, Anderson Prince, Lewis Jones, Dajae
`Jackson, Berik Belispayev, and Gauchar Ryshmanova filed a Complaint against Legacy
`Partners, and Does 1 through 10, captioned Nathaniel Cole, et al. v. Legacy Partners, Inc, which
`is pending in Los Angeles County Superior Court, Case No. 23STCV06106. This matter is part
`of the coordinated proceeding, Legacy Partners Tenancy Cases, JCCP No. 5290. A true and

`Sandra Lopez, Daniel Corona, and Alejandro Corona filed a Complaint against Legacy Partners,
`and Does 1 through 10, captioned Martinique Gregory, et al. v. Legacy Partners, Inc, which is
`pending in Los Angeles County Superior Court, Case No. 23STCV060107. This matter is part
