`Certain Insurers listed in the signature blocks below hereby assert the following
`

`objections to the direct testimony declaration of Maura Kolb in Support of Confirmation of Second
`Joint Plan of Reorganization of Imerys Talc America, Inc. and its Debtor Affiliates Under Chapter
`11 of the Bankruptcy Code submitted by Plan Proponents.

`
`General Objection(s):

`Certain Insurers re-raise the arguments set forth in their motion in limine (D.I. 7203)
`1.
`
`with respect to the exclusion of testimony by Ms. Kolb regarding specifics from the negotiations
`and the drafting processes of the Plan and TDPs because Ms. Kolb declined, on the basis of
`privilege, to answer questions regarding the details of those negotiations and drafting processes
`during her deposition taken on January 30, 2025.1 Because Ms. Kolb declined to respond to
`follow-up questions regarding the negotiations and drafting processes, Certain Insurers were
`prevented from testing the veracity of Ms. Kolb’s conclusory statements as to the nature of the
`negotiations and how the various parties interacted during negotiations. That is an inappropriate
`use of privilege, first as a shield, then as a sword during trial because Certain Insurers are now
`prevented from effectively crossing Ms. Kolb on those topics.

`5. The Imerys Plan reflects a resolution that
`is the product of extensive negotiations
`among the Imerys Debtors, Imerys S.A., the
`Committee, and the Future Claims
`Representative (“FCR”) (collectively, the
`“Imerys Plan Proponents”).
`6. The Imerys Debtors’ Joint Chapter 11
`Plan of Reorganization of Imerys Talc
`America, Inc. and Its Debtor Affiliates [D.I.
`1714] (the “Prior Plan”) was filed in 2020
`and reflected an agreement that was the
`result of negotiations by and among the
`Imerys Plan Proponents.
`
`7. With the aid of mediations conducted by
`Lawrence Pollack, the Imerys Plan
`Proponents were also able to reach
`agreements with Rio Tinto and with Cyprus
`Amax Minerals Corporation (“CAMC”) . . .
`.
`12. The third-party releases contained in the
`Imerys Plan are the result of negotiations
`between and among the Imerys Plan
`Proponents and/or between the Imerys Plan
`Proponents and third parties contributing to
`the Trust (the “Releases”).
`16. Ultimately, the Imerys Plan is the result
`of lengthy negotiations among various
`parties and their professionals all focused on
`the goal of achieving a fair and equitable
`resolution of these Chapter 11 Cases.

`16. Given the numerous parties involved
`and their vastly divergent interests, it is the
`Committee’s position that the Imerys Plan
`reflects a significant accomplishment.
`17. It is the Committee’s position that the
`Imerys TDP represents a reasonable
`structure to allow for resolution of Talc
`Personal Injury Claims to ensure that funds
`provided to the Trust for resolution of such
`claims are fairly distributed to holders of
`such claims.
`19. During mediation sessions among the
`Imerys Plan Proponents and the Cyprus
`Plan Proponents, the Committee also
`discussed its views and position on the TDP
`and listened to the views of the Cyprus Plan
`Proponents.
`20. The Scheduled, Average, and Maximum
`Values for OC claims were discussed within
`the Committee. During Committee
`meetings, Committee members participated
`in discussions about claim values by
`expressing their opinions and concerns
`about proposed values based upon their
`experience and guidance of counsel, and the
`advice and guidance of the Committee’s
`other advisors including its estimation
`experts.
`21. With respect to Mesothelioma claims,
`the Scheduled, Average, and Maximum
`Values were discussed within the

`22. As for the Scheduled, Average, and
`Maximum Values for Lung Cancer Claims,
`the Committee discussed proposed values
`and was informed by, among other things,
`the historical values of Lung Cancer Claims
`in other bankruptcy trusts.
`23. Additionally, during mediation sessions
`among the Imerys Plan Proponents and the
`Cyprus Plan Proponents parties addressed
`their respective positions on Scheduled,
`Average, and Maximum Values for all
`claims that are compensable under the
`Trust.
`24. In structuring the Original TDP,
`Committee members discussed the
`allocation of funds between Fund A and
`Fund B. During Committee meetings,
`Committee members expressed their
`opinions and concerns about the proposed
`allocation based upon their experience and
`with the guidance of counsel.
`25. After coming to an agreement within the
`Committee on the allocation of Trust assets,
`the Committee, through its professionals,
`advised the Imerys FCR of its position and
`requested feedback. Likewise, Committee
`professionals informed the Imerys Debtors
`of the Committee’s position and requested
`feedback from the Imerys Debtors.

`26. During mediation sessions among the
`Imerys Plan Proponents and the Cyprus
`Plan Proponents, counsel for the Committee
`also discussed its position on the allocation
`of Trust assets.
`27. The Committee and its professionals
`considered many different alternatives
`before agreeing to the current allocation of
`Trust assets. The different alternatives to the
`allocation of Trust assets that the
`Committee considered included:
` Allocating Trust Assets to claimants
`on a pro rata basis;
` Allocating Trust Assets in
`percentages other than the proposed
`allocation of Talc Personal Injury
`Assets between Fund A and Fund B;
` Allowing claimants with different
`levels of disease to be eligible for
`compensation pursuant to the TDP;
` Allowing foreign claims to be
`eligible for compensation pursuant
`to the TDP;
` Allocating assets according to the
`40/40/20 structure proposed under
`the Prior Plan;
` Creating separate trusts for the
`Imerys Debtors and the Cyprus
`Debtors that would be funded by
`each estate rather than one trust
`containing the mechanism of the
`Dual Estate Factor;
` Allocating Trust Assets by
`classifying mesothelioma cosmetic
`A and B claims and mesothelioma
`industrial A and B claims into
`different funds; and
`Incorporating Lung Cancer claims in
`the same fund as Mesothelioma
`claims.
`28. Under the TDP, it is the Committee’s
`position that the allocation of funds between

`Fund A and Fund B is appropriate based on
`several factors:
` The number of claims asserted
`against the Imerys Debtors;
` The types of claims asserted against
`the Imerys Debtors;
` The value of assets to be contributed
`to the Trust following the Effective
`Date;
` The status of talc litigation in the
`tort system;
` The number of individuals expected
`to claim against the trust based on
`the disease asserted;
` The number of current and expected
`claims based on the nature of the
`talc or talc-containing products;
` The Imerys Debtors’ claims
`database;
` Developments in the multidistrict
`litigation involving J&J, among
`other parties;
` The need to obtain a consenting
`class of individuals in favor of the P;
` Requirements in Bankruptcy Code
`section 524(g); and
` Relevant legal precedent from the
`Third Circuit Court of Appeals and
`otherwise within the Third Circuit.
`29. After deliberations within the
`Committee and the Committee’s
`discussions, through its professionals, with
`the Imerys Plan Proponents and Cyprus
`Plan Proponents during mediation sessions,
`the concept of Other Disease Claims was
`discussed for inclusion in the TDP. The
`Committee based its decision to support the
`addition of Other Disease Claims to the
`TDP on several factors, including:
` Allowing additional diseases to be
`recognized by a trust is a common
`feature of mass tort trusts;
`

` Talc litigation in the tort system is in
`its infancy. It is not clear at this time
`what other personal injuries
`exposure to talc or talc-containing
`products may cause; and
` The science examining the effects of
`talc on the human body is in its early
`stages. If it is determined that
`additional diseases may be attributed
`to talc, the Committee believed there
`should be procedures set forth to
`allow individuals with Other
`Disease Claims to be compensated
`under the strict criteria set forth in
`the Individual Review Process. See
`TDP § 5.2(b)(vii).
`30. Similarly, upon further consideration by
`the Committee and discussion among the
`Imerys Plan Proponents through Mediation
`after the Imerys Debtors elected not to
`proceed with the Prior Plan, Lung Cancer
`Claims were made compensable under the
`TDP. The Committee decided to support the
`addition of Lung Cancer Claims as
`compensable under the TDP based on
`several factors, including:
` Lung Cancer Claims had been
`asserted against the Cyprus Debtor,
`which claims would be channeled
`into the combined Trust;
` Certain claims in the Imerys
`Debtors’ claims database that were
`originally identified as
`mesothelioma claims were, upon
`further inspection by the Imerys
`Debtors, identified as Lung Cancer
`Claims (See Disclosure Statement §
`4.1(d));
` On information and belief, J&J
`entered into settlements with
`individuals asserting Lung Cancer
`Claims;
` On information and belief, Lung
`Cancer Claims have become more
`

`common in talc-related litigation
`since the Petition Date; and
` On information and belief,
`individuals asserted claims in the
`tort system alleging that use of J&J’s
`talc caused their lung cancer.
`30. On information and belief, Lung Cancer
`Claims have become more common in talc-
`related litigation since the Petition Date.
`
`31. The Dual Estate Factor was proposed
`due to the fact that the Trust, as structured,
`required two different sets of debtors to
`combine their assets into a single trust for
`allocation among various sub-trusts.
`33. It is the Committee’s position that the
`Trust, and by extension the TDP, is designed
`to provide individuals with Talc Personal
`Injury Claims a way to resolve their claims
`in a manner that treats similarly situated
`individuals consistently and in accordance
`with the Bankruptcy Code.
