`IT IS HEREBY STIPULATED AND AGREED by and between Kroy IP Holdings,

`LLC and Groupon, Inc., through their undersigned counsel and subject to the approval of the Court,
`
`that:
`
`1.

`The filing of any motion for an award of attorneys’ fees and/or costs and/or a Bill
`
`of Costs pursuant D. Del. LR 54.1 shall be deferred as set forth herein;
`
`2.
`
`If an appeal is filed, then the parties shall file a status report within fifteen (15) days
`
`thereafter that will address whether the prevailing party intends to file a motion for attorneys’ fees
`
`and/or costs and/or a Bill of Costs pursuant to D. Del. LR 54.1, together with a proposed briefing
`
`schedule therefor, at which time this Court shall set an appropriate schedule ; or
`
`3.
`
`If no appeal is filed, then Groupon’s deadline for filing a motion for attorneys’ fees
`
`and/or costs and/or its Bill of Costs pursuant D. Del. LR 54.1 is extended to forty-five (45) days
`
`after the deadline for filing an appeal has lapsed.
