`WHEREAS, the Court consolidated this action by Order dated August 16,
`
`2019 (the “Consolidation Order”); and
`
`WHEREAS, pursuant to Paragraph 7 of the Consolidation Order, Plaintiffs
`
`were to file a Consolidated Derivative Complaint on or before September 6, 2019;
`
`NOW, THEREFORE, IT IS HEREBY STIPULATED AND AGREED, by
`
`the Parties hereto, through their undersigned counsel, subject to the approval of the
`
`Court that Lead Counsel shall, on or before September 13, 2019, file a Consolidated
`
`Derivative Complaint. Defendants shall have thirty (30) days from the filing of the
`
`Consolidated Derivative Complaint to answer or otherwise respond to the
`
`Consolidated Derivative Complaint.
