`OF DEFENDANT BRIAN GOLDNER WITH PREJUDICE

`WHEREAS, Court of Chancery Rule 25(a)(1) provides in relevant part
`
`that, upon the death of a party, “[u]nless [a] motion for substitution is made not
`
`later than 90 days after the death is suggested upon the record . . . , the action
`
`shall be dismissed as to the deceased party”;
`
`WHEREAS, on October 19, 2021, counsel for the CBS Director
`
`Defendants filed a Suggestion of Death Upon the Record in regard to the death
`
`of Defendant Brian Goldner (D.I. 192); and
`
`WHEREAS, no motion for substitution has been filed;
`
`NOW, THEREFORE, IT IS HEREBY STIPULATED AND AGREED,
`
`by and among the parties hereto and subject to the approval of the Court, that
`
`all claims asserted in the above-captioned action against Defendant Brian
`
`Goldner are hereby dismissed with prejudice.
