`WHEREAS, on September 27, 2021, plaintiffs Ontario Provincial Council of
`
`Carpenters’ Pension Trust Fund, Police & Fire Retirement System of the City of
`
`Detroit, and Norfolk County Retirement System (collectively, “Plaintiffs”) filed
`
`their Verified Stockholder Derivative Complaint (Trans. ID 66958628, the
`

`“Complaint”) under seal;
`
`WHEREAS, on October 18, 2021, defendants S. Robson Walton, Gregory B.
`
`Penner, Steuart Walton, Timothy P. Flynn, Thomas W. Horton, Marissa A. Mayer,
`
`Doug McMillon, Steven S. Reinemund, Phyllis Harris and Jay Jorgenson and
`
`nominal defendant Walmart Inc. (collectively, “Defendants”) responded to the
`
`Complaint by moving to dismiss or, in the alternative, stay the Complaint (Trans. ID
`
`67021696, the “Motion”); and
`
`WHEREAS, Court of Chancery Rule 5.1 (“Rule 5.1”) authorizes the Court to
`
`permit documents to be filed confidentially where “good cause exists for
`
`confidential treatment,” including where information is filed that includes “sensitive
`
`financial [or] business . . . information”; and
`
`WHEREAS, the parties intend to comply with Rule 5.1 in connection with
`
`filing public versions of any filings made under seal,
`
`IT IS HEREBY STIPULATED AND AGREED, by the parties hereto,
`
`through their undersigned counsel, subject to the approval of the Court:
`

`The parties may file all papers in support of or opposition to the Motion
`
`as Confidential Filings in accordance with Rule 5.1.
`
`2.
`
`The parties shall comply with the requirements of Rule 5.1 with respect
`
`to the filing of any public versions of any Confidential Filing.
