`WHEREAS, on September 26, 2022, the Court granted with modifications a
`
`[Proposed] Order Granting Plaintiff AutoLotto, Inc.’s Motion for Partial Summary
`
`Judgment (the “Order,” Dkt. 35);
`
`WHEREAS, in relevant part, the Order provides that “Defendant shall
`
`indemnify Plaintiff for all losses, claims, damages, liability, and expenses that
`
`Plaintiff incurred in connection with its efforts to secure the return of the Escrow
`
`Funds, including, but not limited to, costs of investigation and legal counsel fees
`
`incurred in connection with the above-captioned action”;
`
`WHEREAS, the parties have discussed the above-referenced award of costs,
`
`expenses and fees; and
`
`WHEREAS, Plaintiff certifies that the amount specified in Paragraph 1
`
`herein represents legal expenses reasonably incurred by Plaintiff in connection
`
`GRANTED

`with its efforts to secure the return of the Escrow Funds, including, but not limited

`to, costs of investigation and legal counsel fees incurred in connection with the

`above-captioned action.

`IT IS HEREBY STIPULATED AND AGREED, by the parties hereto,
`
`through their undersigned counsel, subject to the approval of the Court, as follows:
`
`1.
`
`By November 30, 2022, Defendant shall pay $397,036.94 by wire
`
`transfer to an account to be specified by Plaintiff’s counsel or as otherwise agreed to
`
`by the parties; and
`
`2.
`
`Upon Plaintiff’s confirmed receipt from Defendant of the amount
`
`specified in Paragraph 1 herein, Defendant shall be deemed to have satisfied its
`
`obligations under Paragraph 3 of the Order.
