`Company.! It is a wholly owned service company subsidiary of Eversource Energy

`(“Eversource”), a registered holding company under the Public Utility Holding

`Company Act of 1935, 15 U.S.C. § 79a, ef seg. Eversource was formerly known

`as Northeast Utilities.2_ The common shares of Eversourceare publicly held.

`The United Illuminating Companyis a specially chartered Connecticut

`corporation. All of its equity securities are owned by UIL Holdings Corporation, a
`
`publicly held corporation. No publicly-held company has a ten percentor greater
`
`ownership interest in UIL Holdings Corporation. The United Illuminating
`
`Companyprovides electric transmission anddistribution services in the State of
`
`Connecticut. In addition, The United IIluminating Company owns a 50% interest
`
`in an entity which indirectly owns two peaking generating plants. The United
`
`Illuminating Companyis a transmission owner in New England and provides
`
`electric transmission service pursuant to the rates, terms and conditions of the ISO
`
`New England Transmission, Markets and Services Tariff.
