`1. Jurisdiction is based upon Section 9(a) of the National Labor Relations Act, 29 U.S.C.
`
`Section 159(a), Section 301 of the Labor and Management Relations Act, 29 U.S.C. Section 185,
`
`and 28 U.S.C. 1337.
`
`2. This action is being brought within the six-month statute of limitations provided in 29
`
`U.S.C. Section 160(b), considering that the statute of limitations was tolled during the period
`

`when plaintiffs pursued internal union remedies, which concluded with a decision by the Public
`
`Review Board of the International Union, UAW on January 22, 2013.
`
`3. Plaintiffs pursued internal remedies, where appropriate and necessary, pursuant to
`
`Article 33 of the Constitution of the International Union.
`
`4. Plaintiffs are also bringing claims pursuant to Section 9(a) of the Labor and
`
`Management Relations Act, 29 U.S.C. Section 159, which does not have an administrative
`
`exhaustion requirement; plaintiffs are also bringing claims against the international and local
`
`unions for fraud under Michigan law, which also does not have and an administrative exhaustion
`
`requirement.
`
`5. Plaintiffs are 257 employees, former employees or retirees of Automotive Component
`
`Carrier, Inc. ("ACC"), which was, at relevant times, a supplier and vendor, subsidiary and/or
`
`joint venture of General Motors Corp. Plaintiffs worked at one of the following terminals in
`
`Michigan; Flint, Saginaw, Pontiac, Lansing and Detroit. Plaintiffs were also, at all relevant
`
`times, members in good standing of the Transportation Unit of Local 659, International Union,
`
`United Automobile, Aerospace and Agricultural Implement Workers of America ("UAW"). As
`
`such, plaintiffs were subject to the Constitution of the International Union UAW and the bylaws
`
`of Local 659, as were the international and local unions.
`
`6. Defendant General Motors, LLC ("GM"), is the successor corporation to General
`
`Motors Corporation, which is or was officially the employer of all plaintiffs; defendants UAW
`
`international and UAW Local 659 are labor organizations and the bargaining representatives of
`
`the employees, including plaintiffs, of General Motors and ACC who work at the Flint, Saginaw,
`
`Pontiac, Lansing or Detroit terminals. Defendant Local 659 is the exclusive bargaining
`
`representative of plaintiffs and defendant International Union acts as the agent of defendant
`
`Local 659.
`
`7. In 1996 race driver Roger Penske was approached by GM to purchase GM's truck
`
`fleet, known as North American Operations; the new company was to be known as Automotive
`

`Component Carriers, Inc. (ACC). The Purchase Agreement signed by GM, the UAW and
`
`Penske in 1996 and the Memorandum of Understanding (MOU) signed by GM, ACC and the
`
`UAW in 1996 had language that would allow the first groups of drivers, the Existing Business
`
`Unit (EBU) drivers flow back rights into a GM facility and would protect their benefits packages
`
`should any unforseen actions threaten the operations of ACC. To offset the cost of the EBU,
`
`GM paid ACC a monthly subsidy. Plaintiffs were not aware of these provisions at that time.
`
`8. In 1998, pursuant to the original GM-UAW-Penske agreement, another business
`
`group known as the New Business Unit (NBU) was created. This group was paid at a lower rate
`
`than the EBU group, but the NBU contract called for one NBU group-member to be moved up
`
`into the EBU group for every two EBU's who retired. These same terms were written into the
`
`subsequent contracts in 1998, 2001 and 2004.
`
`9. To date, this provision of the contract has never been implemented, despite the fact
`
`that numerous EBU's have retired.
`
`10. Despite numerous and frequent requests by members of the NBU group, including
`
`some plaintiffs, the union has never filed a grievance to complain about the EBU/NBU provision
`
`of the contract being breached.
`
`11. In May, 2009, ACC and Local 659 presented plaintiffs with options regarding
`
`separating from employment pursuant to a Memorandum of Understanding ("MOU") dated May
`
`29, 2009, known as the "2009 Special Attrition Plan" ("SAP") which had been negotiated by
`
`ACC, GM Corp. and the International Union UAW.
`
`12. Under the SAP, each qualified employee, including plaintiffs, had three options;
`
`1) retire effective July 31, 2009 under the Normal or Voluntary Retirement provisions of
`
`the ACC-UAW Hourly-Rate Employees Pension Plan. Under this option, employees in
`
`classifications other than skilled trades would receive a $25,000 vehicle voucher and a $20,000
`
`cash payment (less applicable taxes), and skilled trades employees would receive a $25,000
`
`vehicle voucher and a $45,000 cash payment (less applicable taxes). Employees eligible for this
`

`option had to be eligible to retire no later than June 1, 2009;
`
`2) Voluntarily quit ACC effective July 31, 2009. Employees selecting this option would
`
`receive a $25,000 vehicle voucher and a $45,000 cash payment (less applicable taxes).
`
`Employees selecting this option would sever all ties to GM and ACC except for any vested
`
`pension benefits. These employees would not be eligible for any continuing health benefits, life
`
`insurance or other benefits except vested pension benefits from ACC or GM or their respective
`
`benefit plans.
`
`3) EBU Red Status and Yellow Status employees who selected this option by August 31,
`
`2009 would receive a $25,000 vehicle voucher and a cash "buy down" payment of $20,000 (less
`
`applicable taxes) in recognition of having their wages and benefits reduced to the level of a NBU
`
`Status employee. Employees selecting this option would not be eligible for retiree medical and
`
`life insurance benefits.
`
`13. Plaintiffs were told by union officials that the plant's closing was imminent and that
`
`if they didn't sign the agreement they would get nothing and be out of work within 48 hours.
`
`14. The form each employee was asked to sign had a place for them to check a box next
`
`to Options 1-3, and a place to sign with signature lines for two witnesses.
`
`15. The form asked each employee to acknowledge that "the options available to me are
`
`determined solely by the written provisions of the 2009 Special Attrition Plan. I understand that
`
`execution of the Special Attrition Plan Conditions and Participation Release Form is a condition
`
`of my participation....I acknowledge no prior representations, promises or agreements relating to
`
`my employment, separation from service, or retirement have been made by ACC, GM or the
`
`UAW, which are contrary to this document and the 2009 Special Attrition Plan. I further
`
`acknowledge that my selection is irrevocable."
`
`16. The form also said that each signatory "understand(s) that ACC, GM and the UAW
`
`may be considering and in the future may agree to amend the ACC-UAW Collective Bargaining
`
`Agreement, the 2009 Special Attrition Plan, and ACC's benefit plans and make available
`

`different redeployment, job security, retirement or separation benefits for which I will not be
`
`eligible."
`
`17. Accompanying the form that each employee was required to sign was a release form
`
`which purported to release ACC and the UAW from all liability concerning his/her employment
`
`and/or separation from employment. The release did not waive any claims that might arise after
`
`the execution of the release.
`
`18. On June 10, 2009, the membership of Local 659 voted overwhelmingly (87% to
`
`13%) to ratify the SAP with its three options.
`
`19. At the time of the vote and at the time they signed the individual
`
`severance/retirement agreements, the members, including plaintiffs, still did not know about the
`
`1996 agreement that gave them flow-back guarantees and benefits guarantees in the event ACC's
`
`existence was threatened. This information had been concealed from plaintiffs by union and
`
`company officials throughout the period of time when plaintiffs were being asked to vote on the
`
`three severance/retirement options. The 2009 agreements took from plaintiffs employment and
`
`benefits rights they never knew they had, rights they could not have discovered with reasonable
`
`diligence.
`
`20. In addition to concealing the details of the 1996 agreement, including the flow-back
`
`rights provisions, union officials explicitly misrepresented plaintiffs' status during a meeting
`
`between union officials and members (including plaintiffs) in June, 2009 at which union officials
`
`specifically told members (including plaintiffs) that they did not have any flow-back rights into
`
`GM and that they "would never see the inside of a GM plant" and so their best and only option
`
`was to ratify and sign the severance/retirement agreements.
`
`21. If plaintiffs had understood that they had guaranteed jobs and benefits with GM
`
`pursuant to the 1996 agreement, which was still in effect at the time of the 2009 ratification vote,
`
`they would not have voted for the new agreement that stripped them of those rights. The failure
`
`of GM, ACC and the union to notify plaintiffs of their pre-existing flow-back rights and the
`

`failure of GM, ACC and the union to notify plaintiffs that by ratifying the 2009 SAP they were
`
`foregoing these rights and benefits, and the union's blatant misrepresentation by telling members
`
`that they did not have flow-back rights constitutes conduct that is arbitrary, discriminatory, in
`
`bad faith and also constitutes fraud in the inducement and renders the 2009 SAP/MOU null and
`
`void.
`
`22. Between June 11, 2009 and June 29, 2009, plaintiffs all signed the SAP and release
`
`forms, selecting either the retirement, buyout or buy down options.
`
`23. On July 21, 2009, plaintiff Larry Kosa signed the SAP form and release form.
`
`24. On July 23, 2009, plaintiff Kosa asked Local 659 committeeman Terry Sims to file a
`
`grievance based on the new SAP/MOU, because he had discovered that instead of just three
`
`options being presented to employees by ACC or GM, that there had actually been as many as 17
`
`options given to the union by ACC and GM for the SAP.
`
`25. Among the options presented by ACC to the union, but never relayed to union
`
`membership, including plaintiffs, was an offer for a $140,000 buyout.
`
`26. At approximately the same time plaintiff Kosa discovered that the union had
`
`concealed the $140,000 buyout offer, other plaintiffs discovered that the 1996 MOU gave them
`
`guaranteed flow-back and benefits rights in the event ACC closed and these other plaintiffs also
`
`discovered that they had never been told about those provisions of the 1996 agreement.
`
`27. Despite the agreements signed by plaintiffs having a rescission clause, union
`
`leadership made it impossible for plaintiffs to rescind their choices once plaintiffs began
`
`discovering the misrepresentations and omissions made by union officials.
`
`28. Local 659 refused to reopen negotiations or file a grievance on behalf of plaintiff
`
`Kosa or other plaintiffs, although this was never communicated to plaintiff Kosa or any other
`
`plaintiff in writing.
`
`29. Despite the UAW constitution requiring the union's locals to hold regular meetings
`
`of its members, Local 659 has, for several years dating back prior to 2009, failed to hold regular
`

`meetings.
`
`30. The failure to hold regular meetings of the Local 659 membership has deprived the
`
`members, including plaintiffs, of the right to communicate with their union, the right to be
`
`informed of union and company activities, and the right to communicate with each other about
`
`union and company matters.
`
`31. This failure by the local to hold regular meetings became especially problematic in
`
`2008-2009, when the auto industry developed financial problems. The members, including
`
`plaintiffs, were faced with large-scale decisions that needed to be made by GM, ACC and the
`
`union, a dearth of reliable information coming from the company or the union, rampant rumors,
`
`and no regular forum for obtaining and sharing information prior to being forced to make
`
`important decisions that impacted on their futures and their families.
`
`32. Plaintiffs who were eligible to retire and who took the retirement or buydown
`
`options also discovered, after ratifying the SAP/MOU and signing their own individual
`
`agreements and releases, that, contrary to what they were told by UAW officials, had they not
`
`signed, many of them still would have had the opportunity to flow into GM and to continue
`
`working.
`
`33. The misrepresentations made to plaintiffs by the union leadership, combined with the
`
`failure of the union to hold regular meetings, deprived plaintiffs of their ability to make informed
`
`decisions.
`
`34. As a result of defendants' fraudulent and tortious actions in forcing plaintiffs the
`
`"take it or leave it" options of the 2009 SAP/MOU, which forced plaintiffs to unknowingly
`
`waive their flow-back rights under the 1996 agreement, plaintiffs were either forced to retire, lost
`
`their flow-back rights into a GM plant, or had their pay and benefits cut drastically.
`
`35. On November 15, 2009, plaintiff Kosa, on behalf of other members of Local 659,
`
`filed an "ACC Appeal submitted under Article 33 of the UAW Constitution."
`
`36. That appeal was on behalf of the UAW local 659 EBU members (Red dot and
