`This letter follows up on a number of outstanding discovery issues raised in recent
`correspondence from the Sun to Defendants. Defendants’ responses to the Sun’s questions below, as
`well as their disclosures in the attachments to this letter, will hopefully help clarify and resolve these
`outstanding discovery issues between the parties. Defendants remain willing to meet and confer in an
`effort to avoid unnecessary motion practice with respect to any discovery disputes that may remain
`outstanding following the agreements and disclosures made in this letter.
`
`Defendants Search Term Disclosures
`
`Attached to this letter as Attachment A is Defendants’ disclosure of ESI search terms run in
`
`connection with Defendants’ discovery efforts in this action to date that have so far been subject to
`Defendants’ review efforts. This document discloses the custodians whose collected documents were
`searched in connection with each of the listed searches. This list includes searches conducted in
`connection with the responses of non-parties AdFam and Frank Vega to their respective subpoenas from
`the Sun. This list replaces Defendants’ prior disclosure of searches sent to the Sun on January 22, 2021.

`Defendants’ Search and Production Efforts
`
`In a good faith effort to resolve the Sun’s concerns, Defendants have made dozens of agreements
`
`to run new searches and produce new categories of documents in the course of recent meet-and-confer
`efforts among the parties. Attached to this letter as Attachment B is a list of Defendants’ outstanding
`production agreements.
`
`Defendants’ discovery efforts have been ongoing in recent weeks, despite delays due to recent
`attorney departures, as well as due to the Sun serving an additional 126 document requests on April 9.
`Outstanding production agreements that are subject to Defendants’ current review are noted as “In
`Progress” in Attachment B. Defendants intend to produce documents responsive to these agreements on
`a rolling basis in the coming weeks.
`
`It is necessary for Defendants to sequence their discovery efforts, given the quantity and scope of
`discovery agreements that Defendants have made in recent weeks, in addition to Defendants’
`forthcoming responses to the Sun’s Sixth Set of Requests for Production. Defendants will consider any
`suggestions the Sun may have regarding the order in which outstanding production agreements should
`be prioritized.
`
`Responses Regarding Specific Document Requests
`
`Defendants provide the following responses to requests raised by the Sun in correspondence
`dated March 29 and April 6.
`
` RFP No. 346: The Sun has narrowed this request to require the Review-Journal’s production of
`advertising “templates”. Defendants agree to this proposal as described in the Sun’s letter dated
`March 26.
`
` RFP No. 364: The Sun proposed search terms for this request in its letter dated April 6. These
`search terms resulted in a review set of 3,720 documents when the searches were run against all
`custodian data. Defendants maintain that this search is unduly burdensome when run across all
`custodians, but will agree to run this search excluding custodians who are unlikely to have
`relevant communications regarding the Review-Journal’s news and editorial features given their
`position in the organization (e.g., finance, accounting, sales).
`
` RFP 370: The Sun proposed two sets of search terms for this request in its letter dated April 6.
`Defendants have run these searches against all custodian data, which has resulted in a review set
`of 84,728 documents for the first proposed search, and 108,417 for the second proposed search.
`Even when the term connectors are narrowed (e.g., from w/25 to w/5), the resulting review set
`for these searches was still many tens of thousands of documents (e.g., approximately 25K and
`44K for the respective searches with a w/5 term connector). Defendants are willing to work with
`the Sun to narrow the review set for RFP 370 to a manageable size, either by narrowing search
`terms, limiting custodians, or both.

`Responses Regarding Prior Searches
`
`The Sun’s April 14 letter follows up on the host of agreements made by Defendants in their
`
`March 26 letter regarding the broadening of previously implemented searches. In the April 14 letter, the
`Sun asserts that certain searches run by Defendants should be broadened further than agreed to by
`Defendants in their March 26 letter.
`
`Defendants’ stand on the scope of their prior agreements for the reasons stated in their March 26
`letter. Defendants believe the expansive scope of Defendants’ search and review efforts in this action
`are evident from the hundreds of searches disclosed in Attachment A. Defendants also reiterate that the
`selection of search terms in this action were based on terms used internally by applicable custodians to
`refer to the relevant subject matter; further details regarding the discussions leading to Defendants’
`search term selection would implicate attorney-client privileged discussions and constitute attorney
`work product.
`
`Defendants April 14 letter also requests additional details regarding the items below, which are
`provided here:
`
` Search Nos. 58-304. The Sun requested confirmation that Defendants’ Search Nos. 58-
`304 are exhaustive of all “customers and advertisers.” Defendants confirm that these
`searches are inclusive of all customers or advertisers that purchased stickers or spadea
`during the relevant time period, consistent with the scope of RFP Nos. 11-13.
`
` Manual Collection Efforts. The Sun requested an explanation of Defendants’ “manual
`collection effort” undertaken in response to certain requests. Defendants’ collection,
`search, and review process is not limited to conducting Boolean searches across collected
`custodian ESI. Defendants’ efforts also include individualized, targeted collection
`projects undertaken by individuals within the relevant organizations to respond to
`specific categories of document requests, following privileged conversations with
`counsel. This includes targeted review of network folders and hard copy files to identify
`and collect documents responsive to certain requests. Disclosing the details of
`Defendants’ collection efforts on a request-specific basis would result in the disclosure of
`privileged communications and attorney work product, and Defendants will not waive
`those protections.
`
`Other Outstanding Discovery Disputes
`
`The Sun’s correspondence dated March 31, April 6, and April 14 reiterates positions the Sun has
`previously taken—and which Defendants have previously rejected—with respect to a number of
`discovery requests. Defendants maintain their positions based on the reasons previously stated with
`respect to these issues and reiterate the compromises they have previously offered with respect to each.
`Defendants remain willing to meet and confer with the Sun if there is a possibility of productive
`compromise on the issues where it appears the parties are currently at an impasse.
