`FINANCECHARGES
`Daily Periodic RatesandAnnual PercentageRates:Yourannual percentagerates
`("APRs")andthe correspondingdailyperiodicratesare listedonthe RatesandFees
`Tablethat is at the end of this documentor providedseparately.To get the daily
`periodic rate we dividethe APRby 365,and in effect always round up at the fifth
`placeto the right ofthe decimalpoint.
`VariableRates:0neor moreAPRsthat applytoyour accountmayvarywith changes
`to the PrimeRate.When you havean APRthat varies with changesto the Prime
`Rate,we calculatethe APRby addinga marginto the PrimeRatepublishedin The
`WallStreetJournaltwo businessdaysbeforethe ClosingDateshownonyourbilling
`statement.The"PrimeRate"is the highest(U.S.)PrimeRatepublishedin the Money
`Ratessectionof TheWallStreetJournal.lf TheWallStreetJournalstopspublishing
`the PrimeRate,we will selecta similarreferencerateandinformyou onyour billing
`statementor througha separatenotice.
`A "margin"is the percentagewe add to the Prime Rateto calculate the APR.A
`"businessday"is any daythat is not a weekend or federal holiday.The Ratesand

`eachvariablerate andanyminimumdaily periodicrate andcorrespondingAPR.
`Twobusinessdaysbeforethe ClosingDateshownonyourbilling statement,we see
`whatthe PrimeRateis.Wethen addthe applicablemarginto that PrimeRateto get
`the APR.Thedaily periodicrate is calculatedas describedabove.
`If ourcalculationresultsin a changeto adailyperiodicratefromthe previousbilling
`cycle becausethe PrimeRatehas changed,the new rate will applyas of the first
`day of your billing cycle that ends in the calendar month in which we madethe
`calculation.Ifthe dailyperiodicrateincreases,youwill haveto paya higherperiodic
`finance chargeandmayhaveto paya higher minimumpayment.
`Default Rates:YourAPRsalsomayvary if you are in default underthis agreement
`or anyotheragreementyouhavewith us or anyof our relatedcompaniesfor anyof
`the following reasons:
`• We do not receive,for any paymentthat is owed on this account or any other
`account or loanwith us,at leastthe minimumpaymentdue bythe date andtime
`due.
`• Youexceedyour creditline onthis account.
`• Youmakea paymentto usthat is not honoredbyyour bank.
`• Tothe extentallowedbylaw,if, atanytimeafteryour accountis closed,we demand
`immediatepaymentof your outstandingbalanceandwe do not receive payment
`within the timewe specify.
`If anyoftheseeventsoccurs,we mayincreasethe APRs(includinganypromotional
`APR)onall balances(excludingoverdraftadvances)upto a maximumofthe default
`rate stated in the RatesandFeesTable.We may considerthe following factors to

`Finance ChargeCalculation - Average Daily Balance Method (including New
`Transactions):We calculateperiodicfinance chargesseparatelyfor eachbalance
`associatedwith adifferentcategoryoftransactions(forexample,purchases,balance
`transfers,balancetransferchecks,cashadvances,cashadvancechecks,overdraft
`advances,andeachpromotion).Thesecalculationsmaycombinedifferentcategories
`with the samedaily periodicrates.This is how it works:
`We calculate periodicfinance chargesfor purchases,balancetransfers, balance
`transfer checks,cashadvances,cashadvancechecks,andoverdraftadvancesby

`• We subtractfromthat balanceany payments,credits,or credit adjustmentsthat

`• Wetreat a credit balanceas a balanceof zero.
`Toget the beginningbalancefor each categoryfor the next day,we addthe daily
`periodic finance chargeto the daily balance.If morethan one daily periodic rate
`could applyto a categorybecausethe ratefor the categorymayvary basedonthe
`amountof its averagedailybalance,we will usethe daily periodic ratethat applies
`for the averagedaily balanceamountatthe endofthe billing cycleto calculatethe
`daily periodic finance charge each day. This agreement provides for daily
`compoundingoffinance charges.
`Toget the total periodicfinance chargefor the billing cycle,we add all ofthe daily
`periodicfinance chargesfor each categoryfor each day duringthat billing cycle.
`However,if any periodic finance charge is due, we will charge you at least the
`minimumperiodicfinancechargestatedinthe RatesandFeesTable.If itis necessary
`to add an additional amountto reach the minimumfinance charge,we add that
`amountto the balancefor purchasesmadeduringthe billing cycle.
`Thetotal finance charge onyour accountfor a billing cycle will bethe sumof the
`periodicfinance chargesplusanytransact½nfee finance charges.
`Foreachcategorywe calculateanaveragedailybalance(includingnewtransactions)
`for the billing cycle by addingall your daily balancesand dividingthat amountby
`the numberof daysinthe billing cycle. If you multiplythe averagedaily balancefor
`a categorybythatcategory'sdailyperiodicrate,andmultiplytheresultbythenumber

`AnnualMembershipFee:If your accounthasanannualmembershipfee, it will bebilled
`eachyear or in monthlyinstallments(asstatedin the Ratesand FeesTable),whetheror
`not you useyour account,andyou agreeto payit when billed.Theannualmcmba‡Jp
`fee is non-refundableunlessyou notify usthat you wish to closeyour accountwithin 30
`daysof the datewe mailyour billing statementonwhich the annualmembershipfee is
`chargedandatthe sametime,you payyour outstandingbalancein full. Yourpaymentof
`the annualmembershipfee doesnot affect our right to closeyour account or limit your
`right to maketransactionson your account. If your account is closed by you or us,we
`will continueto chargetheannualmembershipfeeuntilyoupayyourcutctendingbalance
`in full andterminateyour accountrelationship.
`Late Fee:If we do not receive at leastthe requiredminimumpaymentby the date and
`time it is dueasshownonyour billingstatementfor any billingcycle,we maychargethe
`late fee shown in the Ratesand FeesTable.If the late fee is basedon a balance,we
`calculatethe latefee usingthe PreviousBalanceonthe current month'sstatementthat
`shows the late fee. This balanceis the sameas the New Balanceshown on the prior
`month'sstatementfor which we did not receive at leastthe requiredminimumpayment
`bythe dateandtime it was due.
`Overlimit Fee:If your accountbalanceis overyour credit line at anytime duringa billing
`cycle, evenif onlyfor a day,we may charge an overlimitfee. We may charge this fee
`evenifyourbalanceis overthe creditlinebecauseof afinance chargeorfeewe imposed
`or a transactionwe authorized.We will not charge morethan one overlimitfee for any
`billing cycle.Butwe maychargeanoverlimitfee in subsequentbilling cycles,evenif no
`new transactions are madeon your account, if your account balance still is overyour
`credit line at anytime duringthe subsequentbilling cycles.
`ReturnPaymentFee:If (a)your paymentcheck or similarinstrumentis not honored,(b)
`anautomaticdebitor otherelectronic paymentis returnedunpaid,or (c) we mustreturn
`a paymentcheck becauseit is not signed or cannot be processed,we may charge a
`return paymentfee
`ReturnCheckFee:If (a)we stop paymenton a cash advancecheck or balancetransfer
`checkatyour request,or (b)we refuseto paya cashadvancecheck or balancetransfer
`check,we maychargea return checkfee.
`Admmistrative Fees:If you request a copy of a billing statement,sales draft or other
`record of your accountor if you requesttwo or morecards or anyspecial services(for
`example,obtainingcardsonanexpeditedbasis),we maychargeyoufor theseservices.
`However,we will not chargeyou for copiesof billing statements,salesdrafts or similar
`documentsthatyourequestfora billingdisputeyoumayassertagainstusunderapplicable
`law. We maycharge,for any services listed aboveand other serviceswe provide,the
`fees fromtimeto time in effect whenwe offerthe service.
`DEFAULT/COLLECTION

`We mayconsideryouto bemdefaultif anyofthese occurs:
`• Wedonotreceive atleastthe minimumamountduebythe dateandtime dueasshown
`onyour billingstatement·
`• Youexceedyourcreditline.
`• Youfail to complywith the terms of this agreementor any agreementwith one of our
`related companies.
`• We obtaininformationthat causesusto believethat you maybeunwillingor unableto
`payyour debtsto us or to othersontime.
`• Youfile for bankruptcy·
`• Youbecomemcapacitatedor in the eventof your death.
`If we consideryour accountto bein default,we maycloseyour accountwithout notice
`andrequireyouto payyourunpaidbalanceimmediately.Wealsomayrequireyouto pay
`mterestat the rate of two percent(2%)a monthonthe unpaidbalancewhen we deem
`your accountto besix or morebillingcycles past due.
`Tothe extent permittedby law, if you are in default becauseyou havefailed to pay us,
`youwill payour collectioncosts,attorneys'
`fees, court costs, and all other expensesof
`enforcingour rightsunderthis agreement·
`CLOSINGYOURACCOUNT
`Youmay close your account at any time. If you call us to close your account, we may
`requirethat you confirmyour requestin writing.
`Wemaycloseyouraccountat anytime or suspendyour credit privilegesat anytime for
`any reasonwithout prior notice except as required by applicablelaw. If we close your
`account,we will not be liable to you for any cGassÿüGñcGsresulting from closingyour
`account or suspendingyour credit privileges.
`If you or we close your account,you and any authorizedusers must immediatelystop
`usingyour accountanddestroyall cards,checksor othermeansto accessyouraccount
`or returnthemto usuponrequest.Youwill continueto beresponsiblefor chargesto your
`account,evenif they are madeor processedafter your account is closed andyou will
`be requiredto paythe outstandingbalanceon your account accordingto the terms of
`this agreement.In addition,to the extentallowed by law,we mayrequireyouto paythe
`outstandingbalanceimmediatelyor at anytime after your accountis closed.

`andassignsor anyandall ofthem.Additionally "we","us"and"our"shallinclude anythird
`partyprovidingbenefits,services,or productsmconnectionwith theAccount(including
`but not limitedto credit bureaus,merchantsthat accept any credit deviceissuedunder
`the Account, rewards programsand enrollmentservices,credit insurancecompanies,
`debtcollectors,andall oftheir officers,directors,employees,agentsandreproccatctn;aa)
`if, andonlyif, suchathird partyis namedbyyou asa cc defendentmanyClaimyouassert
`agamstus.
`Claims Covered.Eitheryou or we may,without the other's consent,elect mandatory,
`bindingarbitrationof any claim, dispute or controversyby either you or us againstthe
`other,or againstthe employees,parents,subsidiaries,affiliates,beneficiaries,agentsor
`assignsof the other, ansing from or relating m any way to the BusinessCard Credit
`Agreement,anyprior BusinessCardCreditAgreement,your credit card Account or the
`advertising,applicationor approvalofyourAccount("Claim").ThisArbitrationAgreement
`governsall Claims,whethersuch Claimsare basedonlaw, statute,contract,regulation,
`ordinance,tort, commonlaw,censtitut!enalprovision,or anylegaltheory of law such as
`respondeatsuperior,or any other legal or equitableground and whether such Claims
`seek as remediesmoneydamages,penalties,injunctions,or declaratoryor equitable
`relief. Claims subject to this Arbitration Agreement include Claims regarding the
`applicabilityofthisArbitrationAgreementorthe validityofthe entireBusinessCardCredit
`Agreementor any prior BusinessCard CreditAgreement.This Arbitration Agreement
`includesClaimsthat arosein the past,or arise in the presentor the future. As usedin
`this ArbitrationAgreement,the term Claimis to begiventhe broadestpossiblemeaning.
`Claimssubjectto arbitrationincludeClaimsthat aremadeascounterclaims,crossclaims,
`third party claims,iniwpleàders or otherwise,anda partywho initiates a proceedingin
`court mayelect arbitrationwith respectto any such Claimsadvancedin the lawsuit by
`anypartyor parties.
`As an exceptionto this Arbitration Agreement,you retain the right to pursuein a small
`claimscourtanyClaimthat iswithinthat court sjurisdictionandproceedsonan:ndividue!
