`WHEREAS, we, Susan Katherine Walvius of 169 Captain Lowman Road, Chapin, SC
`29036 and Michelle Marie Marciniak of 169 Captain Lowman Road, Chapin, SC 29036, have
`invented certain new and useful improvements in Bedding With Enhanced Performance
`Properties for which a provisional patent application, Serial No. 61/101,049, has been filed
`September 29, 2008; said patent application and the invention described therein being hereafter
`referred to as the "Patent Rights";
`
`WHEREAS, Sheex, LLC, a South Carolina limited liability company, having a place of
`business at 169 Captain Lowman Road, Chapin, SC 29036, is desirous of acquiring the entire
`right, title and interest in and to said Patent Rights, and in and to any Letters Patent that may be
`granted therefor in the United States and in any and all foreign countries;
`
`NOW THEREFORE, for good and valuable consideration given to us in hand paid, the
`receipt and sufficiency of which is hereby acknowledged, and other good and valuable
`consideration, we, the aforesaid have sold, assigned and transferred, and by these presents do
`sell, assign and transfer unto said Sheex, LLC, its successors and assigns, the full and exclusive
`right to the said invention in the United States and its territorial possessions, and in all foreign
`countries, and the entire right, title and interest to the Patent Rights and interest in and to any
`and all Letters Patent of the United States and its territorial possessions, and in any and all
`foreign countries to be obtained therefor on said invention or any continuation, division,
`renewal, substitute or reissue, or reexamination thereof for the full term for which the same may
`be granted.
`
`We hereby authorize and request the Patent Office to assign the above-identified Patent
`to Sheex, LLC as the assignee of our entire right, title, and interest in and to the same.
`
`Further, we will communicate to Sheex, LLC any facts known to us respecting said
`invention, and testify in any legal proceedings, sign all lawful papers, make all rightful oaths,
`and generally do everything possible to aid said Sheex, LLC, its successors and assigns, to
`obtain and enforce proper protection for said invention and Patent Rights and Letters Patent in
`the United States, and in any and all foreign coup

`PROTECTING YOUR INVENTION OUTSIDE THE UNITED STATES

`Since the rights granted by a U.S. patent extend only throughout the territory of the United States and have no
`effect in a foreign country, an inventor who wishes patent protection in another country must apply for a patent
`in a specific country or in regional patent offices. Applicants may wish to consider the filing of an international
`application under the Patent Cooperation Treaty (PCT). An international (PCT) application generally has the same
`effect as a regular national patent application in each PCT-member country. The PCT process simplifies the filing
`of patent applications on the same invention in member countries, but does not result in a grant of "an international
`patent" and does not eliminate the need of applicants to file additional documents and fees in countries where patent
`protection is desired.
`
`Almost every country has its own patent law, and a person desiring a patent in a particular country must make an
`application for patent in that country in accordance with its particular laws. Since the laws of many countries differ
`in various respects from the patent law of the United States, applicants are advised to seek guidance from specific
`foreign countries to ensure that patent rights are not lost prematurely.
`
`Applicants also are advised that in the case of inventions made in the United States, the Director of the USPTO must
`issue a license before applicants can apply for a patent in a foreign country. The filing of a U.S. patent application
`serves as a request for a foreign filing license. The application's filing receipt contains further information and
