`·8· ·we'll start with you, petitioner, if you want to tell

`·9· ·us what your thinking is on this.

`10· · · · · · ·MR. McDERMOTT:· Sure.· This is
`
`11· ·Rick McDermott again.· So an issue has come up with
`
`12· ·respect to respondent AMT's potential lack of
`
`13· ·standing to respond to the petition in this case on
`
`14· ·its own.· The patent owner with respect to the 715 is
`
`15· ·Kirn Medical Design, LLC.· That's is K-I-R-N.· AMT is
`
`16· ·an exclusive licensee.
`
`17· · · · The petitioners have examined and reviewed the
`
`18· ·license agreement between Kirn Medical and AMT and do
`
`19· ·not believe that that license agreement provides
`
`20· ·sufficient rights in the patent to AMT for AMT to
`
`21· ·represent this patent on its own in this proceeding.
`
`22· · · · There is a corresponding litigation in the
`
`23· ·northern district of Ohio involving the same patent,
`
`24· ·the 715 patent.· In that case, rather than dispute
`
`25· ·the issue of standings, AMT has agreed to add Kirn
`

`·1· ·Medical Design, LLC as a party plaintiff for purposes

`·2· ·of asserting the 715 patent.
`
`·3· · · · In this case Kirn Medical Design, LLC has been

`·4· ·identified as a real party in this interest, although
`
`·5· ·only AMT filed the preliminary response.· The
`
`·6· ·preliminary response is filed only on behalf of AMT.
`
`·7· · · · Also, there is in this case a document that was
`
`·8· ·submitted by AMT with the mandatory disclosures.· It
`
`·9· ·is a consent document consenting to AMT's defense of
`
`10· ·the 715 patent by Kirn Medical, but there is no POA
`
`11· ·submitted by Kirn Medical.· And given the nature of
`
`12· ·the license agreement, we're not certain that AMT
`
`13· ·might need more than just a consent document in order
`
`14· ·to represent the patent on its own and that Kirn may
`
`15· ·be required to participate as a patent owner.
`
`16· · · · The petitioner is agreeable to AMT submitting a
`
`17· ·revised POA and potentially an amended preliminary
`
`18· ·response identifying Kirn Medical.· We're just not
`
`19· ·certain, given the certification, whether it was
`
`20· ·permissible at this point or required at this point.

`21· · · · · · ·JUDGE SCANLON:· I guess, can you -- so the
`
`22· ·paper referred to -- I think it's paper five -- the
`
`23· ·authorization given by Kirn Medical, you said but
`
`24· ·there was no power of attorney.

`·5· ·patent, and I'm not sure that that document is

`·6· ·sufficient to grant what we would normally in a
`
`·7· ·litigation context refer to as standing for AMT to be
`
`·8· ·able to represent the patent on its own.

`·9· · · · · · ·JUDGE SCANLON:· Okay.· And as far as the
`
`10· ·exclusive license you reference, license agreement,
`
`11· ·that is not of record, I don't believe; is that
`
`12· ·correct?

`13· · · · · · ·MR. McDERMOTT:· That is correct.· So the
`
`14· ·license agreement was produced in the corresponding
`
`15· ·litigation.· So we have had the opportunity to review
`
`16· ·it in this context.· It is not an exhibit in this
`
`17· ·proceeding.

`18· · · · · · ·JUDGE SCANLON:· Can you speak to why you
`
`19· ·think that doesn't provide the authority for AMT to
`
`20· ·act on behalf of the patent owner.
`
`21· · · · · · ·MR. McDERMOTT:· Sure.· Several provisions
`
`22· ·that we think fall short of what would normally be
`
`23· ·required of what would typically be referred to as
`
`24· ·exclusive license which would be required to provide
`
`25· ·sufficient rights to convey standing.· One of them is
`

`·2· ·contingent upon certain sales requirements.
`
`·3· · · · There also is a limitation with respect to
`
`·4· ·sublicensing.· There are also some limitations
`
`·5· ·relating to the ability to file suit.· It is not an
`
`·6· ·exclusive grant to the licensee to be able to file
`
`·7· ·suit on behalf of the patent.· That is contingent as
`
`·8· ·well.· And there are several other provisions, but
`
`·9· ·those are the primary ones that we believe limit the
`
`10· ·license in such a way that it would not rise to the
`
`11· ·level of granting standing.
`
`12· · · · · · ·JUDGE SCANLON:· Okay.· All right.· Thank

`13· ·you.· Do you have anything else to add at this point?

`14· · · · · · ·MR. McDERMOTT:· That is it, your Honors.

`16· ·you respond to that?

`17· · · · · · ·MR. YORK:· So this is Greg York for AMT.

`18· ·Our position is that the exclusive license clearly
`
`19· ·grants AMT the -- it makes AMT an exclusive licensee.
`
`20· ·I think the issue of whether AMT has all substantial
`
`21· ·rights in the patent so that AMT would have standing
`
`22· ·on its own without needing to join Kirn Medical is an
`
`23· ·issue that would be reasonable to discuss, but we
`
`24· ·would argue that there's no question that the license
`
`25· ·has made AMT an exclusive licensee; and on that
`

`·1· ·basis, AMT has standing to sue in litigation, and, we
`
`·2· ·would argue, has standing to act on behalf of the
`
`·3· ·patent owner in the IPR proceeding.
`
`·4· · · · I can cite to case law that supports that
`
`·5· ·proposition, which is the WiAV Solutions v. Motorola
`
`·6· ·case, 631 F.3d 1257 (Fed. Cir. 2010).· The issue is
`
`·7· ·that the agreement -- the agreement between Kirn
`
`·8· ·Medical and AMT provides AMT with an exclusionary
`
`·9· ·right in the patent that it if violated would cause
`
`10· ·AMT to suffer legal injury.
`
`11· · · · Based on the case law, that's sufficient for AMT
`
`12· ·to have standing.· Whether AMT has all substantial
`
`13· ·rights in the patent is a different issue and that
`
`14· ·would go to whether or not Kirn Medical needs to be
`
`15· ·joined.
`
`16· · · · AMT's position is that Kirn Medical will
`
`17· ·voluntarily join if the board feels that it's
`
`18· ·necessary for Kirn Medical to do so.· We will note
`
`19· ·though that, as petitioners' representative has
`
`20· ·pointed out, Kirn Medical is already indicated as a
`
`21· ·real party in interest along with AMT.· And it would
`
`22· ·be our understanding and position that the consent
`
`23· ·agreement that we filed, which indicates that Kirn
`
`24· ·Medical consents to AMT defending the 715 patent in
`
`25· ·this IPR proceeding by counsel appointed by AMT, that
`

`·3· · · · We would think they would be sufficient for AMT
`
`·4· ·to be able to proceed without needing to add Kirn
`
`·5· ·Medical, but Kirn Medical will voluntarily join to
`
`·6· ·the extent that the board thinks it's necessary.
`
`·7· · · · · · ·JUDGE SCANLON:· All right.· Any response
`
`·8· ·Mr. McDermott?
`
`·9· · · · · · ·MR. McDERMOTT:· Just a limited response,
`
`10· ·your Honors.· Mr. York seems to be drawing a
`
`11· ·distinction between AMT as an exclusive licensee and
`
`12· ·AMT as having all substantial rights in the patent in
`
`13· ·suit as required for standing in his description.
`
`14· · · · We believe that it is not sufficient to just be
`
`15· ·an exclusive licensee in name, that to have standing
`
`16· ·you must have received that transfer of all
`
`17· ·substantial rights in the patent suit, which we don't
`
`18· ·believe has occurred.
`
`19· · · · As I indicated earlier, we do believe that Kirn
`
`20· ·Medical ought to be a respondent in this case, and we
`
`21· ·are agreeable to AMT submitting an amended response
`
`22· ·identifying Kirn Medical as a respondent and also a
`
`23· ·POA on behalf Kirn Medical, if that is permissible.
`

`·3· ·an exclusive licensee, AMT would be willing to submit

`
`·5· ·a concern about that, we could point to the terms of
`
`·6· ·agreement that provide the exclusive right, the
`
`·7· ·relevant exclusive rights to AMT.· Other than that, I
`
`·8· ·don't have anything to add.

`·9· · · · · · ·JUDGE SCANLON:· As far as -- you mentioned
`
`10· ·earlier Kirn would be willing to join, if necessary.
`
`11· ·It seems like -- would you view that as filing an
`
`12· ·amended response and power of attorney as
`
`13· ·Mr. McDermott has suggested?
`
`14· · · · · · ·MR. YORK:· What I would -- what I would
`
`15· ·expect should be done would be that we would file a
`
`16· ·power attorney from Kirn Medical -- granting power of
`
`17· ·attorney from Kirn Medical to our firm.· I don't
`
`18· ·think that there would be a need to file an amended
`
`19· ·patent owner's preliminary response in part because
`
`20· ·Kirn Medical Design is listed as the patent owner in
`
`21· ·the heading and there isn't anything -- it doesn't
`
`22· ·seem to me that there would be anything substantive
`
`23· ·that would need to be added to our patent owner's
`
`24· ·preliminary response.

`25· · · · I would say I don't think -- I'm not aware of a

`11· ·with respect to that -- and I would echo what
`
`12· ·Mr. York said in terms of doing whatever the board
`
`13· ·seems to be appropriate.

`14· · · · Our only thought with respect to that was that
`
`15· ·the -- when we say amended response, what we really
`
`16· ·mean is that that response would be submitted on
`
`17· ·behalf of both Kirn Medical as the patent owner and
`
`18· ·AMT as the exclusive licensee as opposed to just
`
`19· ·being submitted by AMT as the licensee.· That was our
`
`20· ·only thought with respect to it being amended.

`16· ·going to do is have patent owner file that power of

`18· ·there's a need to further amend the preliminary

`21· ·proceeding as being in the name of patent owner Kirn
`
`22· ·as well as AMT.· And I think that should resolve the

`23· ·issues we're dealing with.
