`WHEREAS,John Kivg, an individnal residing in Wheaton, Illinois, (hereafter called “Assignor”) is the
`ownerofthe entire right, title, and interest and assignee of the U.S. Patent and applications listed in the
`Exhibit attached hereto;

`AND WHEREAS,Cantigny Lighting Control, LLC, an Illinois limited liability company, having a place
`of business at 2018 Dorset Drive, Wheaton, [L 60189 (hereafter,
`together with any sueeessors,
`legal
`represeutatives or assigns thereof, called “Assignee”) wants to acquire the entire right, title and interest in
`and to said U.S. Patents and applications listed in the Exhibit attached hereto, and all the inventious
`therein, and Assignoris willing to enter iuto such assignment.

`NOW, THEREFORE,effcetive on July 20, 2015 and in consideration of the sum of One Dollar ($1.00)
`in hand paid and other good and valuable consideration ihe reeeipt of which from ASSIGNEEis hereby
`acknowledged, Assignor has sold, assigned, transferred and set over, and does herebysell, assign, transfer
`and set over to ASSIGNEE the eutire right,
`title and iuterest in and to the U.S. Patentlisted in the
`Exhibit attached hereto, andall patents, patent applications, foreign patents, foreigu patent applications,
`continuations, continuations—in-part, divisionals, extensions, renewals, reissues and re-examinations that
`elaim priority on the basis thereof, all rights to sve for past, present and future infringement, ineluding the
`right to colleet and reecive any damages, royalties, or settleinents for such infringements,ali rights to sue
`for mjnnctive or other equitable relief, all rights to relief under 35 U.S.C. § 154(d), and any andall causes
`ofaetion relating to any of the inventionsor discoveries thereof;

`Assignor hereby covenants that it has full right to convey the entire interest herein assigued. and that it
`has not exeented, and will not execute, any agreement in conflict with this Assignment,

`Assigoor hereby further covenants and agrees that it will eommunieate to ASSIGNEEany andall facts
`knownto it respecting said patents, and testify in any legal proceeding, sign all lawful papers, exeeute and
`deliver all papers and take any actions that may be necessary or desirable to perfect the title to any
`aforementioned patents and inventions, exeeute all divisional, continuation, reexamination, reissue and
`substimie applications, and make all
`rightful oaths and generally do everything possible to aid
`ASSIGNEE to obtain and enforee proper patent protection for said inventions in all countries.
