`Even after the January 19, 2024 hearing where the Court ordered Cargodite,
`
`LLC (“Cargodite”) to disclose owner Miguel Angel Torres as a person with
`
`knowledge of relevant facts, Cargodite refuses to present Torres for deposition.
`
`Cargodite’s “apex deposition” argument fails as a matter of law because it fails to
`
`comply with the requirements for apex protection. Torres has unique and superior
`
`personal knowledge of relevant information. His deposition must be compelled.

`I.
`BACKGROUND
`
`This is a survivorship and wrongful death lawsuit stemming from a May 19,
`
`2023 motor vehicle collision that claimed the life of Decedent Bryan Mora. The
`
`collision occurred when Defendant Julio Mejia, an employee and driver of
`
`Cargodite, parked a disabled, broken-down Cargodite tractor-trailer in Mr. Mora’s
`
`lane of travel in the pre-dawn hours without adequate lighting or warnings.
`
`Unable to detect the hidden danger, Mr. Mora’s automobile collided with the rear
`
`of the tractor-trailer, resulting in his death.
`
`Plaintiffs, the parents, children, and estate of Bryan Mora, filed this lawsuit
`
`on September 12, 2023 alleging negligence and gross negligence theories,
`
`including
`
`inadequate
`
`training, supervision, and vehicle maintenance.1
`
`Maintenance records produced by Cargodite in discovery show that invoices for
`
`repair of the tractor-trailer were billed not only to Cargodite, but to another
`
`company named Gator International, LLC (“Gator International”).2 Notably,
`
`Gator International also appears on the police report as the “ORGANIZATION”
`
`to whom the trailer is registered:
`

`The only known person with knowledge of the relationship between
`
`Cargodite and Gator International is Miguel Angel Torres, the owner and
`
`registered agent of both companies, and sole officer, director, and member of
`
`Cargodite.4
`
`

`On December 7, 2023, Plaintiffs requested Torres’ deposition and
`
`questioned why he had not been disclosed as a person with knowledge of relevant
`
`facts.5 Counsel for Cargodite refused to provide any deposition dates and refused
`
`to identify Torres via supplemental disclosures.
`
`On December 14, 2023, having received no available dates from Cargodite,
`
`Plaintiff noticed Mr. Torres for a January 3, 2024 deposition.6
`
`On December 18, 2023, Cargodite moved to quash the deposition, without
`
`providing alternate dates, times, or locations for the deposition to occur. Although
`
`Cargodite claimed that the deposition of Torres was an “apex deposition,” the
`
`company failed to provide an affidavit—or any evidence—in support of the claim.
`
`On January 19, 2024, the Court heard Plaintiff’s Motion to Compel Complete
`
`Rule 194.2 Disclosures and Production of Documents Against Cargodite, LLC. During
`
`the hearing, counsel for Cargodite admitted to the Court that Mr. Torres had the
`
`practice of using his repair account(s) with Gator International to schedule and bill
`
`repairs to Cargodite, LLC vehicles, including the subject tractor-trailer. After
`
`considering the arguments, the Court verbally ruled that Gator International,
`
`

`Torres, and the individuals listed on the repair invoices were persons with
`
`knowledge of relevant facts who must be deposed. As of the date of this motion,
`
`Cargodite has not complied with the Court’s Order.
`
`Plaintiffs request the Court to deny Cargodite’s motion to quash and motion
`
`for protection and compel Torres’s deposition.
`
`II.
`ARGUMENT AND AUTHORITIES
`
`A. Cargodite’s Motion Fails to Comply with the Texas Supreme Court’s
`Requirements for Apex Doctrine Protections.
`
`Cargodite moved for protection from the noticed depositions pursuant to
`
`
`
`the apex doctrine, which governs depositions of upper-level managers at the
`
`“apex” of the corporate hierarchy of large companies.7 See Crown Cent. Petroleum
`
`Corp. v. Garcia, 904 S.W.2d 125, 126 (Tex. 1995). However, the doctrine “does not
`
`provide automatic protection to all high-ranking corporate officers whose
`
`depositions have been noticed.” In re Titus Cnty., 412 S.W.3d 28, 35 (Tex. App.—
`
`Texarkana 2013, orig. proceeding). A party seeking protection from an apex
`

`deposition must first file a motion for protection accompanied by an affidavit of
`
`the corporate official denying knowledge of relevant facts. In re Baylor Univ., 01-
`
`20-00439-CV, 2020 WL 6878411, at *5 (Tex. App.—Houston [1st Dist.] Nov. 24, 2020,
`
`no pet. H.) (emphasis added) (citing Crown Central, 904 S.W.2d at 128). Only then
`
`does the burden shift to the party seeking the deposition to demonstrate that the
`
`witness has “unique or superior personal knowledge of discoverable
`
`information.” Id.
`
`
`
`Cargodite’s motion for protective order fails to comply with the
`
`requirements set forth by the Texas Supreme Court in Crown Central. Cargodite
`
`never submitted an affidavit from Torres denying knowledge of relevant facts to
`
`the issues in this lawsuit. In fact, Cargodite never filed any affidavit from any
`
`witness to support its motion for protective order. Cargodite’s failure to present
`
`affidavit testimony demonstrating that Torres lacks knowledge of relevant
`
`information precludes it from obtaining apex deposition doctrine protections. See
`
`In re Blue Creek Real Properties, LLC, 13-18-00308-CV, 2018 WL 3583645, at *2 (Tex.
`
`App.—Corpus Christi July 26, 2018, no pet.). Cargodite should therefore be
`
`required to produce Torres for deposition.
`

`B. Torres Has Unique and Superior Knowledge of Relevant Information.
`
`
`
`Even assuming that Cargodite presented evidence sufficient to invoke apex
`
`doctrine protections—which it undisputedly did not—Plaintiffs are nevertheless
`
`entitled to the noticed depositions. The apex doctrine does not provide protection
`
`to corporate officials who have “first-hand knowledge of certain facts.” In re Baylor,
`
`2020 WL 68748411 at *6 (quoting Boales v. Brighton Builders, Inc., 29 S.W.3d 159, 168
`
`(Tex. App.—Houston [14th Dist.] 2000, pet. denied)). Accordingly, if the party
`
`seeking the apex deposition has “arguably shown that the official has any unique
`
`or superior personal knowledge of discoverable information,” the motion for
`
`protection should be denied and the deposition should be allowed. In re Alcatel
`
`USA, Inc., 11 S.W.3d 173, 176 (Tex. 2000) (quoting Crown Central, 904 S.W.2d at
`
`128). An apex witness has “unique or superior” knowledge if the corporate official
`
`“is the only person with personal knowledge of the information sought” or
`
`“arguably possesses relevant knowledge greater in quality or quantity than the
`
`other sources.” In re Baylor, 2020 WL 6878411 at *5 (quoting In re Alcatel, 11 S.W.3d
`
`at 176).
`
`In the present case, the available evidence shows that Miguel Angel Torres
`
`is not only the sole agent, owner, director, and member of Cargodite, he is the only
`

`individual with personal knowledge regarding the relationship and shared
`
`maintenance agreement between his company, Cargodite, and his other company,
`
`Gator International. Even Cargodite’s counsel has admitted in open Court that
`
`Torres knowingly used his Gator International repair accounts to coordinate
`
`repairs for Cargodite vehicles. This information is clearly relevant to Plaintiffs’
`
`claims for negligence and gross negligence, as well as evaluating the liability of
`
`the still-undisclosed Gator International. Accordingly, the Court should compel
`
`Torres to appear for deposition.
`
`C. Plaintiff Have Exhausted Less Intrusive Methods of Obtaining the
`Information Sought by the Depositions.
`
`Even absent a showing that Torres possesses unique and/or superior
`
`
`
`personal knowledge of discoverable information (he does), his deposition must
`
`still be allowed. Under the Crown Central framework, if the party seeking the apex
`
`deposition cannot show the official has any unique or superior personal
`
`knowledge of discoverable information, the party must make a good faith effort
`
`to obtain the discovery through less intrusive methods. In re Alcatel, 11. S.W.3d at
`
`180 (citing Crown Central, 904 S.W.2d at 128). The party seeking the deposition may
`
`then “attempt to show (1) that there is a reasonable indication that the official’s
`
`deposition is calculated to lead to the discovery of admissible evidence, and (2)
`

`that the less intrusive methods of discovery are unsatisfactory, insufficient, or
`
`inadequate.” Crown Central, 904 S.W.2d at 128. If the party makes this showing,
`
`the deposition must be allowed. Id.
`
`In the present case, Plaintiffs have already made a good faith effort to obtain
`
`the information. Plaintiffs requested Cargodite company records pertaining to
`
`Miguel Angel Torres, but Cargodite refused to produce any responsive
`
`documents.8 Plaintiffs requested communications to or from Mr. Torres regarding
`
`the job performance and driver qualifications of Cargodite drivers Julio Mejia and
`
`Florencio Garduno (Mejia’s co-driver on the date of the Incident).9 Again,
`
`Cargodite failed to produce any records. Cargodite likewise refused to produce
`
`maintenance records for the tractor-trailer, save for a short window before and
`
`after the collision.10 Although public records confirm at least 7 reportable crashes
`
`involving Cargodite vehicles within just the past two years, Cargodite refused to
`
`provide any documents regarding these crashes, or which company, Cargodite or
`
`Gator International, typically performed post-crash inspections, investigations, or
`
`

`repairs (let alone which individual).11
`
`Cargodite’s obstructive tactics have even continued to third-party
`
`discovery. When Plaintiffs attempted to subpoena records from Mejia’s cell phone
`
`reflecting communications with Torres, Cargodite once again moved to quash the
`
`subpoena.
`
`Each of these matters pertain to Plaintiff’s claims of negligence and gross
`
`negligence against Cargodite and Mejia. Because there is a reasonable indication
`
`that testimony from Torres is calculated to lead to the discovery of admissible
`
`evidence, and because less intrusive methods of discovery have proven to be
`
`unsatisfactory, insufficient, and inadequate, Plaintiffs respectfully ask the Court to
`
`Order Cargodite to produce Torres for deposition.
`
`III.
`CONCLUSION AND PRAYER
`
`Plaintiffs Octavio Mora and Maricela Mora pray that the Court deny
`
`Cargodite’s motion to quash and motion for protective order and enter and order
`
`compelling Cargodite to provide five (5) available dates in March 2024 for the in-
`
`person deposition of Miguel Angel Torres. Finally, Plaintiffs pray that the Court
`
`
