`Limited, a company having its principal offices at 29 Earlsfort Terrace, Dublin 2, Republic of Ireland
`(“Assignee”), as of the date set forth beiow, the entire right, title and interest for the United States of
`America and its territorial possessions, and all other countries including all rights of priority,

`inventions disclosed in the patents and patent applications identified on Amendix 1, together with all
`issued patents, rights to ilwentions and pending and future applications for patents under US. law or
`regulation, or of any other country, with respect to the patentable inventions firm which any of the
`foregoing arise,
`inciuding Without
`limitation, divisions, continuations, centinuations-iwpart,
`substitutions, reexalninations, reissues, extensions or foreign counterparts therefrom the (collectively,
`the “Assets”), and all causes of action, rights, and remedies arising under any such Asset prior to, on
`or after the effective date of this Agreement, and all claims for damages by reason of past, present or
`future infringement or other unauthorized use of such Assets with the right to sue for and collect such
`damages.
