`(“Assignor”) desires to giveits entire right, title and interest in and to the United States

`Patents listed in Exhibit A hereto, which is incorporated herein and madea part hereof,

`and to the inventions disclosed therein (collectively, “Patent Rights”) to THE FLORIDA
`
`STATE UNIVERSITY FOUNDATION,

`INC., a not-for-profit corporation located in
`
`Tallahassee, FL 32306 (“Assignee”) pursuant to the terms of the Gift Agreement Among
`
`Futurewei Technologies,
`
`Inc., The Florida State University and The Florida State
`
`University Foundation (“Gift Agreement”) executed concurrently with this Patent
`
`Assignment; and
`
`WHEREAS,Assignee, as of the Assignment Date as defined below, desires to
`
`receive from Assignorthe entire right, title and interest of Assignor in and to said Patent
`
`Rights;
`
`NOW, THEREFORE, effective as of the date of signature to be affixed hereto by
`
`the Assignor below (“Assignment Date”), and in consideration of the mutual covenants
`
`of Assignor and Assignee as stated in the Gift Agreement, the sufficiency of which are
`
`hereby acknowledged, Assignor does hereby assign and transfer to Assignee,
`
`its
`
`successors and assigns for their respective uses and purposesthe entire right, title and
`
`interest of Assignee in and to the Patent Rights, including withoutlimitation all reissues
`
`and reexaminations that may subsequently issue in connection therewith, and including
`
`all rights of Assignor to the Patent Rights throughout the world, and including all rights
`
`-of Assignor to enforce the Patent Rights against infringers and collect patent damages
`
`for any such infringementfor the use and purposes of Assignee.

`Assignor further hereby authorizes and requests the Commissioner of Patents

`and Trademarks to transfer its ownership in said Patent Rights to said Assignee as of

`the Assignment Date.

`maintenance fees thenorlaterfalling duein relation to the Patent Rights shall become

`the sole responsibility of Assignee.
