`INC., a Delaware corporation (hereinafter

`referred to as “Assignor”) ownsthe entire right, title and interest by assignmentin and to

`the inventions and disclosures of

`the certain United States Patents or Patent

`Applicationslisted in Appendix A hereto (the “Patents”); and

`WHEREAS,

`FUTUREWEI TECHNOLOGIES,

`INC.,

`(hereinafter referred to as “Assignee”) is desirous of acquiring, as of the Assignment
`
`Date, the entire right, title and interest in, to and under said Patents and the inventions
`
`covered thereby,

`including but not
`
`limited to all divisions,
`
`reissues, substitutions,
`
`continuations, continuations-in-part and extensions thereof;
`
`NOW, THEREFORE, to be effective as of the date of signature to be affixed
`
`hereto by the Assignor below (the “Assignment Date”), and in consideration of the
`
`business transaction contemplated between the Assignee and the Assignor, and for
`
`other good and valuable consideration, the receipt and sufficiency of which is hereby
`
`acknowledged, Assignor does herebysell, assign, transfer and set over to Assigneeits
`
`entire right, title and interest in and to the said Patents, including but not limited toall
`
`divisions, reissues, substitutions, continuations, continuations-in-part and extensions
`
`thereof, the sameto be held and enjoyed by Assignee for its use and purposes and for
`
`the use and purposesofits successors, assigns or other legal representatives, including
`
`but not limited to the right to sue for and future patent damages and infringement, and to
`
`collect the same for its own use and purposes.

`Assignor further hereby authorizes and requests the Commissioner of Patents
`
`and Trademarks to transfer ownership in said Patents, including but not limited to all
`
`

`WHEREAS, 3LEAF SYSTEMS,

`INC., a Delaware corporation (hereinafter

`referred to as “Assignor”) ownsthe entire right, title and interest by assignmentin and to

`the inventions and disclosures of

`(hereinafter referred to as “Assignee”) is desirous of acquiring, as of the Assignment

`Date, the entire right, title and interest in, to and under said Patents and the inventions

`covered thereby,

`including but not
`
`limited to all divisions,
`
`reissues, substitutions,
`
`continuations, continuations-in-part and extensions thereof;
`
`NOW, THEREFORE, to be effective as of the date of signature to be affixed
`
`hereto by the Assignor below (the “Assignment Date”), and in consideration of the
`
`business transaction contemplated between the Assignee and the Assignor, and for
`
`other good and valuable consideration, the receipt and sufficiency of which is hereby
`
`acknowledged, Assignor does herebysell, assign, transfer and set over to Assigneeits
`
`entire right, title and interest in and to the said Patents, including but not limited toall
`
`divisions, reissues, substitutions, continuations, continuations-in-part and extensions

`thereof, the sameto be held and enjoyed by Assignee for its use and purposes and for
`
`the use and purposesofits successors, assigns or other legal representatives, including
`
`but not limited to the right to sue for and future patent damages and infringement, and to
`
`collect the same for its own use and purposes.

`Assignor further hereby authorizes and requests the Commissioner of Patents

`and Trademarks to transfer ownership in said Patents, including but not limited to all
`
`

`divisions, reissues, substitutions, continuations, continuations-in-part and extensions
`
`thereof, to said Assignee as of the AssignmentDate.
`
`Assignor also hereby sells and assigns to said Assignee, its successors, assigns
`
`and legal representatives, as of the Assignment Date, the full and exclusiveright,title
`
`and interest to the inventions disclosed in said Issued Patents throughout the world,
`
`including theright to file applications and obtain patents, utility models, industrial models
`and designs for said inventions in its own name throughout the world includingall rights
`
`of priority, all rights to publish cautionary notices reserving ownership of said inventions
`
`and all rights to register said inventions in appropriate registries; and Assignor further
`
`agrees to execute any and all powers of attorney, applications, assignments,
`
`declarations, affidavits, and any other papers in connection therewith necessary to
`
`perfect such right,
`
`title and interest in Assignee,
`
`its successors, assigns and legal
`
`representatives.
`
`Assignor hereby further agrees that it will, at the expense of said Assignee, to
`
`testify in any legal proceedings,
`
`sign all
`
`lawful papers, execute all divisional,
`
`continuation, continuation-in-part, reissue and substitute applications, make all
`
`lawful
`
`oaths, and generally do everything possible to vesttitle in said Assignee andto aid said
`
`Assignee,
`
`its successors, assigns and legal representatives to obtain and enforce
`
`properprotection for said Patentsin all countries.
