`Systems Center, Inc. changed its name to Sterling Software (United States of

`America), Inc. A copy of the Second Restated Certificate of Incorporation which

`reflects this name change is attached hereto as Exhibit A and has been submitted to

`the United States Patent and Trademark Office for recordation (at Reel No. 1161,

`Frame No. 0293), as shown in the attached document. Sterling Software (United

`States of America), Inc. is a wholly-owned subsidiary of Sterling Software, Inc., the

`Applicant in the present application. Sterling Software, Inc, as parent company,
